Closer – Terms and Conditions of Sale, Warranty, and Liability Policy

1. General Provisions
These Terms and Conditions (“Terms”) govern the sale, distribution, and use of all products marketed under the Closer brand (“Products”). By purchasing, installing, or using any Closer Product, the customer (“Customer”) agrees to be legally bound by these Terms.

2. Product Origin
All Closer Products are designed and manufactured in Japan in accordance with internal quality control standards and production processes.

3. Intended Use (Motorsport Only)
Closer Products are strictly intended for motorsport and competition use only.
They are not homologated, certified, or approved for use on public roads.
Use of these Products on public roads may be illegal depending on local regulations.

The Customer acknowledges and agrees that:

• the Products are used entirely at their own risk;
• compliance with all applicable laws and regulations is the sole responsibility of the Customer.

4. Professional Installation Requirement
Closer Products must be installed and configured by qualified professionals with appropriate technical knowledge and experience.
Closer shall not be liable for any damage or malfunction resulting from improper installation or setup.

5. Limited Warranty
Closer warrants that its Products shall be free from manufacturing defects for a period of one (1) year from the date of purchase.

This warranty applies only if the Product:

• has not been opened, disassembled, or tampered with;
• has not been modified, altered, or misused;
• has been correctly installed and used under appropriate conditions.

Any violation of these conditions will immediately void the warranty.

The warranty is limited, at Closer’s sole discretion, to repair or replacement of the defective Product. No other remedies are provided.

6. Returns and Refunds
Returns are accepted only if explicitly authorized by Closer.
Products must be returned unused, in original condition, and in original packaging within 14 days of delivery, unless otherwise agreed in writing.

Shipping costs for returns are the responsibility of the Customer unless the return is due to a verified manufacturing defect.

Refunds, where applicable, will be processed after inspection of the returned Product.

7. Shipping and Delivery
Closer will make reasonable efforts to meet indicated shipping and delivery times; however, such timelines are estimates only and not binding.

Closer shall not be held liable for delays, loss, or damage occurring during transportation once the Product has been handed over to the carrier.

Risk of loss transfers to the Customer upon shipment.

8. Disclaimer of Liability (Competition Use Only)
To the fullest extent permitted by applicable law, Closer expressly disclaims any and all liability arising from the use of its Products.

Closer shall not be liable under any circumstances for:

• direct, indirect, incidental, consequential, or special damages;
• personal injury, death, or property damage;
• financial losses, downtime, or loss of performance.

This limitation applies regardless of whether the damage results from Product malfunction, failure, improper use, or otherwise.

By purchasing and using the Products, the Customer explicitly assumes all risks associated with motorsport use.

9. Product Updates and Accuracy of Information
Closer reserves the right to modify, update, or discontinue Products at any time without prior notice.

Product specifications, materials, design, and components may change over time.
Images, renderings, and descriptions on the website or in marketing materials are for illustrative purposes only and may differ from the actual Product.

10. Force Majeure
Closer shall not be held liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, supply chain disruptions, labor disputes, war, or governmental actions.

11. Intellectual Property
All trademarks, logos, product designs, and related materials are the exclusive property of Closer.
Any unauthorized use, reproduction, or distribution is strictly prohibited.

12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

13. Acceptance of Terms
By purchasing, installing, or using any Closer Product, the Customer confirms that they have read, understood, and fully accepted these Terms and Conditions.

14. Electronic Waste Disposal (WEEE Directive Compliance)
Customers are responsible for the proper disposal of electronic products at the end of their life cycle in accordance with applicable laws and regulations, including the European Directive 2012/19/EU on Waste Electrical and Electronic Equipment (WEEE). These products must not be disposed of with household waste. Instead, they should be taken to designated collection points for recycling or recovery. Proper disposal helps prevent potential harm to the environment and human health and promotes the sustainable reuse of resources.

15. Privacy and Personal Data Protection
Closer processes personal data in compliance with applicable Italian and European data protection laws, including the General Data Protection Regulation (GDPR).

Any personal data collected through purchases or interactions with Closer will be processed solely for purposes related to order fulfillment, customer service, and legal obligations. Closer implements appropriate technical and organizational measures to ensure the security and confidentiality of personal data.

Customers have the right to access, rectify, or request deletion of their personal data, as well as to exercise any other rights provided under applicable data protection laws.
